Pour LLC USINCO francophones non-résidents servant clients US enterprise (>$50K contracts), drafting avocat US obligatoire.

Limitation of Liability caps (monetary + exclusions + carve-outs)#

3 composantes Limitation of Liability#

Carve-outs essentiels (5 minimum)#

 1. Gross negligence + willful misconduct — courts declare void si limited
 2. Fraud + intentional misrepresentation — statutorily unenforceable to limit
 3. IP infringement — third-party claims need full recovery
 4. Breach confidentiality (NDA) — massive damages possible
 5. Indemnification obligations — defeat purpose if limited

Drafting standard limitation clause#

LIMITATION OF LIABILITY. EXCEPT FOR (A) GROSS NEGLIGENCE OR WILLFUL
MISCONDUCT, (B) FRAUD OR INTENTIONAL MISREPRESENTATION, (C) BREACH
OF CONFIDENTIALITY OBLIGATIONS, (D) INDEMNIFICATION OBLIGATIONS, OR

**5 mécanismes contractuels essentiels** pour limiter risques litiges clients LLC US : (1) **Limitation of Liability** caps — standard fees past 12 months + exclusions damages consequentiels + carve-outs (gross negligence, fraud, IP infringement). (2) **Arbitration clauses** JAMS/AAA — binding, expedited, location, language, costs allocation. (3) **Jurisdiction selection** — Delaware Chancery Court (LLC formed Delaware) ou Wyoming district court ou federal diversity (>$75K + diverse parties). (4) **Venue clauses** — geographic specifiée (county + state). (5) **Governing Law** — Delaware/Wyoming/NY law selon LLC formation. **Federal Arbitration Act (FAA)** préempte state law dans majorité cases. **Class action waivers** enforceables post-AT&T Mobility v. Concepcion (2011). Selon WA Business Law Blog : *« Members should pay special attention to drafting a clear dispute resolution clause to address the disagreements that may arise between them. »* **Best practices** : avocat US obligatoire dès clients enterprise >$50K + coordination insurance liability.

**Différences majeures arbitration vs litigation** pour LLC disputes : **Arbitration** = procédure privée binding avec arbitrator indépendant. **Avantages** : (1) **Confidentialité** (pas public records court), (2) **Speed** (typically 6-12 mois vs 2-5 ans litigation), (3) **Cost** (souvent moins cher si bien drafted), (4) **Expertise** (arbitrator spécialisé business), (5) **Finalité** (binding decision rarely appealable). **Inconvénients** : (1) **Pas de jury trial** (some businesses préfèrent jury), (2) **Limited discovery** (less evidence gathering), (3) **Limited appeals** (binding final). **Litigation court** = procédure publique avec judge/jury. **Avantages** : discovery complète, possibilité jury sympathique, appeals possibles. **Inconvénients** : public records, slow, expensive, unpredictable. **Pour LLC USINCO francophones** : **arbitration recommandée** pour disputes B2B (confidentialité + speed) + carve-outs litigation pour IP infringement + injunctive relief.

Les **limitation of liability caps** standard 2026 pour contracts LLC US sont : (1) **Monetary cap** = **fees paid past 12 months** (most common standard B2B), parfois fees paid past 6 mois pour services courts. (2) **Aggregate cap** : cap total all claims (e.g., $100K maximum aggregate). (3) **Per-incident cap** : cap par claim spécifique. (4) **Exclusions damages consequentiels** : lost profits, business interruption, loss of goodwill, incidental damages, punitive damages. (5) **Carve-outs typiques** : (a) **Gross negligence + willful misconduct** (généralement carved out), (b) **Fraud + misrepresentation**, (c) **IP infringement** (third-party claims), (d) **Breach confidentiality** (NDA violations), (e) **Indemnification obligations**, (f) **Personal injury** (statutorily excluded most states). Selon LawInsider : *« Excludes consequential damage, property damage, or personal injury of any nature. »* **Best practices USINCO** : limitation 12 months fees + standard exclusions + 5 carve-outs minimum + insurance backing limitation.

(4) **Breach confidentiality (NDA)** : violations confidentielles peuvent causer damages massifs disproportionnés vs fees. **Drafting standard carve-out** : *« Notwithstanding anything to the contrary, the foregoing limitations shall not apply to (a) gross negligence or willful misconduct, (b) fraud or intentional misrepresentation, (c) IP infringement claims, (d) breach of confidentiality obligations, (e) indemnification obligations.

**OUI, class action waivers sont enforceables post-AT&T Mobility v. Concepcion (2011)** et confirmé par Epic Systems v. Lewis (2018). **AT&T Mobility v. Concepcion (Supreme Court 2011)** : Federal Arbitration Act (FAA) préempte state laws qui invalident class action waivers. **Epic Systems v. **Conditions enforceability** : (1) **Clear language** waiver dans arbitration clause, (2) **Consideration adéquate** (mutual obligations), (3) **Conscionability** (not unfair surprise), (4) **Process individuel** explicit (one-on-one arbitration only). **Drafting standard class action waiver** : *« All claims must be brought solely in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Pour LLC USINCO francophones, raisons préférence Delaware Chancery : (1) **Judges spécialisés business** (no juries — bench trials seulement), expertise corporate law profonde, (2) **Decision speed** (souvent 6-18 mois vs 3-5 ans courts traditionnels), (3) **Jurisprudence riche** (250+ ans corporate law développée), (4) **Predictability** outcomes business-friendly, (5) **Confidentialité** possible (motions for sealing), (6) **Sophisticated bar** (avocats specialized chancery), (7) **No jury trials** (decisions par chancellor experts). **Cas Delaware Chancery** : disputes Operating Agreement, breach fiduciary duty, member buyouts, derivative suits, dissolution LLC. Recommandé scaling LLC > $1M revenue + Series A imminent.

**Delaware (DE)** — pro-arbitration jurisdiction, broad enforcement, Federal Arbitration Act (FAA) preempts state law dans most cases. **Recommandation USINCO** : pour LLC formed Wyoming/Delaware/New Mexico avec clients multi-states, **drafting arbitration clauses universally enforceable** : (1) clear binding language, (2) consideration mutuelle, (3) carve-out injunctive relief, (4) class action waiver, (5) JAMS/AAA rules incorporation, (6) FAA invocation explicite.

(2) **Insurance liability** = backup financier si lawsuit dépasse cap OU si cap declared void. Coordination optimale : (a) **Limitation clause cap** $100K aggregate + carve-outs, (b) **GL insurance** $1M coverage backup, (c) **Professional Liability/E&O** $1M-3M pour services LLC, (d) **Cyber Liability** $1M-3M si data clients. **Cas chiffré** : client lawsuit $500K, limitation cap $100K. Sans insurance : LLC responsable $100K (cap respected). Avec insurance Professional Liability $1M : insurance paie $100K cap + defense costs + potentiellement settlement up to $500K = **$0 out-of-pocket LLC**. **Best practices USINCO** : (1) limitation clause + (2) insurance liability + (3) Operating Agreement Wyoming charging order + (4) corporate formalities (anti-piercing veil). Stack 4 protections = risque LLC <5 %.
